Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

If you do not accept these Terms, you must refrain from using this website or making a purchase from this website or other platforms managed by us, including but not limited to in store purchase or telecommunication purchase.

These terms are an agreement between you ("you" or the "Buyer") and WBSQ Holdings Pte Ltd and its subsidiaries including WineFridge SG Pte. Ltd.  Throughout the site, the terms “we”, “us” and “our” refer to WBSQ Holdings Pte Ltd and its subsidiaries including WineFridge SG Pte. Ltd. By using and/or purchasing from us, you agree to be bound by the Terms, any other Applicable Terms and all the disclaimers and terms and conditions that appear elsewhere on our website. We reserve the right to amend any terms and conditions at our discretion without prior notice. We recommend you review the terms for amendments each time you use the website and before placing any order. By continuing to use this website after such publication or by placing an order via other platforms or means, you agree to be bound by these Terms as revised. Any changes to these Terms will apply to any order you place from the effective date of the change. Whilst we are under no obligation to do so, should we choose to provide you with notice of amended terms, you agree to receive email notification of the amendments from us or a third party. You should therefore periodically visit this page to determine the current Terms.

You may enter into a sale contract for the sale and supply of goods or services described in this website, by you making an offer to us via the website or any other platforms managed by us, including but not limited to in store purchase or telecommunication purchase, to purchase the goods and services at the specified price, subject to these Terms.

ORDER ACCEPTANCE / CONFIRMATION

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept or decline your order.

PRODUCT DISPLAY/COLORS

We attempt to display product images shown on the site as accurately as possible. However, we cannot guarantee that the colour you see matches the product colour, as the display of the colour depends, in part, upon the monitor you are using. Where there are accessories or furnishings included in the product image, they are used purely for illustration purposes and will not be included in the final sale of the product.

PRODUCT AVAILABILITY

Items purchased online may not be in stock even after order confirmation. If we are unable to fulfill your order, our Customer Service Executive will contact you to advise estimated restock date, offer an alternative product or advise a full refund. Any representations made at any time about stock availability are accurate to the last known stock level and are subject to change. If we cannot supply particular goods, we will notify you by telephone or email as soon as possible.

Not all products available online are available in stores. Online products, variants, pricing and availability may vary from stores.

PRICE

We shall have the right to correct the price at any time, even after a purchase is confirmed where there has been a typographical or other error in the price.

• Unless otherwise stated, all prices quoted are inclusive of goods and services tax.
• Prices may not include delivery and handling charges.
• You must advise us at the time you place your purchase via the website or later when you discuss delivery with us any request for any additional services other than delivery to lift landing levels including but not limited to rehinging of door, extending the length of cables, carrying up/down any stairs and/or disposal of same existing item as purchased. Additional fees may be charged to you should you not inform us of any of the additional services required at least 5 working days before delivery.
• Goods shown without any advertised price are not offered for free but to be quoted on request basis.
• Unless otherwise stated, accessories shown in any image of goods are not included in the price.
• We reserve the right to correct any errors published on the website at any time.

• Online prices and selection generally match those in our stores, but may vary.

• You may use our electronic digital coupons during payment. Digital coupons/ promotional codes will be issued with their own set of conditions and they are specific to each version of the coupon. Please refer to the specific terms that come with the usage of digital coupons. In the event that the voucher is found invalid for whatever reason, we reserve the right to recover whatever amount that is equivalent to the voucher value in cash. If the total purchase value is below the coupon value, the excess value of the coupon will not be refunded. Coupon will not be applicable with any other promotions that may be promoted, unless otherwise stated. The terms and conditions stated in each digital coupon shall be final and conclusive.
• Any discounts and rebates offered are on such terms and conditions as we may from time to time prescribe and may be withdrawn or cancelled by us without notice.
• All free gifts offered are while stocks last and are not exchangeable and may be withdrawn or cancelled at any time without notice.

PAYMENT

We accept payment with most major credit and debit cards as well as bank transfer payments. All payment must be effected in Singapore currency and must be made in full and received by us at least 24 hours before dispatch of goods, unless otherwise communicated by us in writing. We reserve the right to cancel or to postpone the arranged delivery if full payment of your order was not received by us 24 hours before dispatch of goods and we shall not be held responsible for any such delays.

Payments must be made via the secure payment gateway facilities accessible via the website and will be subject to any additional terms and conditions of those providers. The transmission of your offer or the confirmation of any payment, made through an electronic instruction may not be received by us for reasons beyond either parties' reasonable control including but not limited to, electronic failure, mechanical, software, computer, or telecommunications failure, or the omission or failure of third-party website providers or systems.

We may act on and process all completed electronic instructions transmitted or issued through the website without further consent from or reference to you.

We may treat an electronic instruction as authentic and is under no obligation to investigate the authenticity or authority of persons issuing or transmitting such electronic instructions, or to verify the accuracy and completeness of such electronic instructions.

To the extent permitted by law, we will not be responsible for any damages or consequential losses (whether direct or indirect) suffered by you where a credit/debit card, PayPal account or other payment method is fraudulently used or is used in an unauthorised manner.

If there is a problem with your payment (for example, if your credit card transaction is declined), we may contact you to make alternative payment arrangements. You will be liable for all debt collection costs where you fail to make payment for any order when payment is due.

ERRORS ON OUR WEBSITE

Prices and availability of goods are subject to change without notice. Errors will be corrected where discovered, and we reserve the right to revoke any stated offer and to correct any errors, inaccuracies or omissions including after a purchase has been submitted and whether or not purchase has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your purchase is cancelled, we will issue a credit to your credit card account in the amount of the charge. Individual bank policies will dictate when this amount is credited to your account.  

DELIVERY & COLLECTION CONDITIONS

Delivery

Subject to you complying with these Terms and acceptance of your purchase by us, we will sell and supply the goods or services to you as shown on your invoice.

Time of delivery is not the essence of the agreement. We will not be liable to you for failure to deliver due to causes beyond our control. 

We will use our reasonable endeavours to deliver your purchase within any stated timeframes for dispatch, however we do not warrant that these timeframes will always be met, as many factors may affect these timeframes. We may at our discretion use a third-party delivery contractor to make any deliveries.  

Goods may not be available for immediate delivery. Subject to availability from the supplier, we will arrange to deliver your Purchase to you as soon as stocks arrive.

Any customized goods which are not held in stock will be required to be pre-ordered. You agree that your Purchase for any such item may take longer to arrive. We will communicate an estimated arrival date from the date you make your Purchase. This time frame is the average manufacturing and shipping lead time required by suppliers.

All delivery dates are estimates only and we are unable to accept any liability for failure to deliver the goods within the specified time resulting from shipment/delivery delays from our suppliers.

If there is no one available to accept delivery on the pre-arranged delivery date, you will be charged for storage, transport and re-delivery costs. Should you be unavailable on the pre-arranged delivery date and request us to deliver the goods again on another date and time, cancellation has to be done at least 48 hours before the stated time and date of delivery.

Should you arrange your own delivery or collection then the goods become your responsibility upon collection from our indicated place of collection.

We cannot accept responsibility for delivery failures or delays by our third-party delivery contractor.

You must advise at the time you place your Purchase via the website or later when you discuss delivery with us, of any disposal of the same item required or any difficulties that may be involved in the delivery (such as stairs or narrow entries). If you do not state the situation correctly and on arrival the delivery contractor deems it to be a difficult location to carry out the delivery, you will be liable for any extra charges including but not limited to redelivery fees and the cost of extra assistance.

You are required to inspect your goods when you take delivery of them but prior to signing off on the delivery documentation. You will be required to note any damage on the delivery documentation which is presented to you by the carrier for signature. Once you have signed off the delivery documentation, you confirm that the goods are received in good order and condition and no exchanges or refunds will be allowed after. We will not be liable for any damage on delivery to any of the goods once the delivery documentation is signed off by you.

Self-Collection

Kindly provide to us the following documentation if you are self-collecting your purchase:

1. A print-out or digital copy (PDF) of your original online order confirmation email. Screengrabs will not be allowed to protect against fraudulent collection.
2. Your personal identification document and/or the credit card used for original purchase, which should be registered under your name.
3. Should you wish to authorise someone else to make the collection on your behalf, kindly print out the original online order confirmation email and indicate the authorised person’s details and your written permission to authorise him/her to collect on it. He/she should present this print-out, the credit card used for the original purchase, as well as his/her personal ID for verification in order to complete the collection.

Please note that we reserve the right to reject collection request if we are unable to perform the requisite verifications.

INSTALLATION POLICY

Where required, basic installation is handled by professionals. Basic installation includes removing the packaging box, plugging in the plug into a ready socket as it is without any additional effort or work, setting up the door handle if any. If the scope of work exceeds the usual scope, additional services may be charged.

If, on delivery, you request for the delivery to leave the goods as it is without any installation, the delivery team shall not be responsible to return to perform the installation services thereafter. If required to do so, there will be additional transport fees charged to you.

TITLE; RISK OF LOSS

Title to, and risk of loss of or damage to goods purchased shall pass to you upon delivery of the purchased goods to you and upon your signing off on the delivery documentation, on condition that full payment, including but not limited to any delivery fees, have been received by us.

EXCHANGE POLICY

All items sold are strictly non-refundable and change-of-mind exchanges are not permitted.

For specific issues pertaining to your product exchange, you may wish to refer to the below pre-purchase checklist, in order to avoid any disappointment or added cost on your purchase:

1. Ensure your product fits into your intended space.
2. Ensure well in advance that the item(s) you have ordered will fit into your space, paying special attention to product dimensions and cut-out measurements.
3. Be sure not to forget any lifts, elevators, stairwells, passages, corridors and landings that your item must pass through.
4. Do check all required access routes and that there is sufficient access and parking for a large delivery truck to safely unload and deliver your item. 

In the unfortunate event that the item cannot fit into your intended space, you must reject the delivery on the spot before the delivery team leaves your residence. You must not sign off on the delivery documentation.

You agree that you shall bear full responsibility on any damage caused to the goods during delivery if it arises because the intended space or the route to access the space is unable to fit the goods. Any additional fees that arise in connection therewith, including but not limited to repackaging or redelivery fees, will be bear by you and no exchange or refunds are allowed even if you have rejected the delivery.

Additional repackaging fee (based on merchandise value) will apply for opened products.

For rejected goods, you may proceed to select another product at our store. The applicable additional fees will be deducted from your earlier payment and the remaining amount can be used to offset your new product order value. If the difference is larger than the remaining amount, you shall top up the cash difference and if the difference is lesser, we will refund the amount accordingly.

We recommend you review all specifications of the goods before placing your order.

In the event you have received the wrong product, please reject the delivery and exchange arrangements will be made accordingly. In the event you decide to choose a different colour from your original purchase, you must reject the delivery and visit the store to reselect your product. Kindly note this option does not apply to Made-to-Order goods. A restocking fee (based on merchandise value) will apply for opened products. If you have signed off on the delivery documentation, no further exchanges will be allowed.

We reserve the right to reject any cancellation or refund deemed unfit or unreasonable.

In the event of any order cancellation, please note that any free gifts, vouchers and accessories associated with the purchase must also be returned at the same time. If free gifts, vouchers and accessories have been used, the refund amount will be offset accordingly to the value of the free gifts, vouchers or accessories. If delivery has taken place, then the refund will exclude delivery charges paid or any fees paid in order to carry out the delivery including but not limited to carrying up or down any stairs and disposal fees.

Display sets cannot be exchanged or refunded. It may also not come with original packaging and full set of accessories.

Please note that Manufacturers reserve the right to subject the product to an examination by their own experts, and may not accept the return of goods.

REFUNDS AND CREDIT CARD PROCESSING FEES

All refunds will be processed back to the original payment method used at checkout. Please note that credit card and payment gateway processing fees (typically 2.5–6%) are non-refundable and will be deducted from the total refund amount. These transaction fees are charged by third-party payment providers and are not recoverable once a payment has been processed.

In the event of a return or order cancellation, only the product amount (excluding the processing fee and any applicable delivery or installation fees) will be refunded.

DEFERMENT / CANCELLATION OF DELIVERY APPOINTMENT

Deferment of Delivery Appointment

Storage charges of $100/month will be imposed for any deferment of delivery appointment beyond a reasonable timeline.

Cancellation – Before Delivery/Self-Collection

Refunds will be done via the same mode of payment used for the original purchase and may take up to 15 working days or more depending on the payment method. Individual bank policies will dictate when this amount is credited to your account.

EXTENDED WARRANTY

In the event that you apply for WFS Extended Warranty (the provisions, Terms and Conditions of which are incorporated herein by reference) and we accept your application, you hereby acknowledge that you have read and understood the Terms and Conditions of the extended warranty, and agree to comply with those terms.

PRODUCT WARRANTY

With respect to WFS branded goods, we make no warranties except those stated in our Product Listing supplied with your goods, or in the case of any extended warranty issued by us, such extended warranty documentation, for which provisions, terms and conditions are incorporated herein by reference.

With respect to non-WFS branded goods, such goods are supplied and sold on an "as is where is" basis, unless the manufacturer, or supplier, of such goods has issued a warranty in respect of such goods, in which case such goods are supplied and sold with the warranties issued and granted by the manufacturer, or supplier, of such goods only. You hereby agree to look solely to such manufacturer, or supplier, for any claims related to such warranties. Please note that manufacturers reserve the right to subject the goods to an examination by their own experts, and may not accept exchange or return of goods if the goods are deemed repairable.

LIMITATION OF LIABILITY

These terms and conditions set out the full extent of our obligations and liabilities, in respect to the supply of goods and performance of any services in relation thereto, and that there are no other representations, warranties, conditions or terms that are binding on us, except as expressly stated herein. Any representation, warranty, condition or term concerning the goods which might otherwise be implied or incorporated in these terms and conditions by statute, common law or otherwise is hereby expressly excluded.

Subject to the foregoing, we and our third parties shall not be liable for any loss of income, loss of profits, loss of contracts, loss of data or for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise. Our maximum aggregate liability hereunder whether in contract, tort (including negligence) or otherwise shall in no circumstances exceed the price of the goods paid by you to us.

VARIATION

We reserve the right to amend, vary and change these terms and conditions at our discretion at any time without any notice to you. Each time you use our website, you should visit and review the then current Conditions of Use, Legal Notices and Privacy Policy that apply to your transactions and use of this website. If you are dissatisfied with our website, its content or Conditions of Use and Legal Notices, you agree that your sole and exclusive remedy is to discontinue using our website. Your continued use of our website and submitting of any purchase or other request to us shall be construed as your acceptance of any such amendments, variations and changes to these terms and conditions.

INDEMNITY

You agree to indemnify, defend and hold harmless WineFridge SG Pte Ltd, its parent, affiliates, officers, directors, employees, distributors, vendors and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and costs) that such parties may incur as a result of or arising from (a) any information you (or anyone using your User Account) submit, post, or transmit on or through this website; (b) your (or anyone using your User Account) use of this website; (c) your (or anyone using your User Account) violation of these Terms of Use; or (d) your (or anyone using your User Account) violation of any rights of any other person or entity, including, but not limited to, any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.

ENTIRE AGREEMENT

These terms and conditions together with your purchase constitute the entire agreement between us and you in relation to your purchase of the goods and supersede any and all statements or other agreements (oral or written) between you and us.

TERMINATION OF USE

We may, in its sole discretion, terminate your account or your use of our website at any time. You are personally liable for any orders that you place or charges that you incur prior to termination. We reserve the right to change, suspend or discontinue all or any aspects of our website at any time without prior notice.

CONTRACTS (RIGHTS OF THIRD PARTIES) ACT (CAP. 53B)

A person who is not a party these terms and conditions shall have no right under the Contracts (Rights of Third Parties) Act (Cap.53B) to enforce any of these terms and conditions.

SEVERABILITY

If any part of these terms is found to be void, invalid, unlawful or unenforceable then that provision or part will be deemed to be severed from these terms and the remaining terms and provisions of these terms will remain in force and constitute the agreement between you and us.

TRANSFER AND ASSIGNMENT

If we merge, sells or otherwise changes control of its business or this website to a third-party, we reserve the right, without giving notice or seeking consent, to transfer or assign the personal information, content and rights that we have collected from you and any agreements it has made with you.

WAIVER

The failure by us to exercise or enforce any right or provision under these terms will not constitute a waiver of such right or provision. Any waiver of any provision under these terms will only be effective if it is in writing and signed by us.

FORCE MAJEURE

We will not be held responsible for any delay, omissions or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control.

GOVERNING LAW AND JURISDICTION

By assessing our websites and its online services, you agree that such access and/or use, as well as these Terms of Use, shall be governed by and construed in accordance with the laws of the Republic of Singapore, and you agree to submit to the exclusive jurisdiction of the Singapore courts.
